General terms
These Terms of Service govern your use of NovaTfirm's online services and legal assistance offerings. By using our services, you accept these terms and the related policies published on NovaTfirm.vip. Our focus is delivering practical, law-focused support to independent professionals with transparent fees and documented engagement terms.
Eligibility
Services are intended for individuals or entities able to form legally binding contracts and who use the services for lawful purposes. By engaging NovaTfirm you confirm that you have the authority to enter into these terms and that your use complies with applicable law.
Users must be at least 18 years old or the age of majority in their jurisdiction to use paid legal services. If you are representing a business or organization, you confirm you have the authority to accept these terms on its behalf.
You may not use NovaTfirm services for illegal activities, to infringe intellectual property rights, or to transmit harmful or malicious content. We reserve the right to suspend services when use appears unlawful or violates these terms.
Some services or features may be restricted by local law or regulatory requirements in Malaysia or other jurisdictions. NovaTfirm may limit availability of specific assistance where compliance or licensing prevents delivery.
Accounts and access
Certain parts of our site and services require an account. You are responsible for maintaining accurate account information and keeping your credentials secure. Accounts may be used to submit documents, track cases, and receive updates.
Provide accurate and complete information when creating or updating your account. Inaccurate information may affect the quality of legal advice or the validity of engagements.
Protect your login credentials and notify NovaTfirm immediately if you suspect unauthorized access. We use standard security measures but cannot accept liability for losses due to compromised credentials where reasonable care was not taken.
Accounts are personal and non-transferable without our prior written consent. Any permitted account transfers are subject to verification and applicable fees.
If you believe your account has been compromised, contact [email protected] immediately so we can contribute and take steps to secure your information and suspend access if necessary.
We may suspend or terminate access for accounts that violate these terms, are inactive, or present security or compliance concerns. Where feasible we will provide notice and an explanation.
Scope of services
NovaTfirm provides business law assistance tailored to independent professionals, including contract drafting and review, company registration advice, compliance checklists, and dispute preparedness. Specific deliverables depend on the engagement selected and are documented in the engagement letter or service agreement.
We may update, add, or remove features or services to reflect legal, regulatory, or business developments. Material changes to paid service offerings will be communicated in advance when practicable.
Service availability may vary based on resource capacity and local legal requirements. NovaTfirm aims to deliver timely responses but does not promise uninterrupted service; scheduled maintenance or unforeseen issues may temporarily affect access.
User rules
When using NovaTfirm, you agree to the following rules to keep the platform reliable and respectful for all clients.
- Provide truthful, non-misleading information in all communications with NovaTfirm.
- Submit only documents and content you are authorized to share and that do not violate confidentiality of third parties.
- Use services for lawful business or professional purposes related to your work as an independent professional.
- Respect intellectual property rights and do not upload pirated or infringing materials.
- Do not attempt to access or disrupt NovaTfirm systems or other users’ accounts.
- Cooperate with reasonable verification requests to confirm identity or authority for actions.
- Follow any additional program-specific rules described in engagement documents or service descriptions.
User content
Clients may upload documents and information needed for legal assistance. You retain ownership of the original materials you provide, subject to the license granted to NovaTfirm to deliver services.
You represent and warrant that you have the right to provide the materials and that sharing them with NovaTfirm does not breach any confidentiality or third-party rights.
By submitting content you grant NovaTfirm a limited, non-exclusive, worldwide license to use, copy and modify the content as necessary to deliver the contracted services and to comply with legal obligations.
You are responsible for the accuracy, completeness, and legality of content submitted. NovaTfirm will not be liable for consequences arising from fraudulent or incomplete information provided by clients.
You may request removal of non-essential materials; however, we may retain copies for legal or compliance purposes. Removal requests will be handled in line with our privacy and retention policies.
Intellectual property
NovaTfirm and its licensors retain ownership of all intellectual property in the platform, materials, templates, and proprietary processes. Client-specific deliverables created under engagement may be licensed or assigned as agreed in writing.
- Do not reproduce or redistribute NovaTfirm proprietary materials without permission.
- You may use provided templates and documents for your own business purposes unless restricted by the engagement terms.
- Unauthorized commercial use of NovaTfirm content is prohibited and may result in termination and legal action.
Paid services
Certain services are fee-based. Paid engagements are governed by the terms in the proposal, invoice, and engagement letter which specify deliverables, timelines, fees, and responsibilities.
Pricing reflects the scope of work, complexity, and required legal expertise. Quotes provided are valid for the period stated and may change for additional work beyond the agreed scope.
Payments can be made by methods specified in the engagement letter. Fees are due according to the payment schedule; late payments may incur administrative fees and suspension of services.
Subscription or retainer arrangements are outlined in separate agreements. Subscription fees cover specified services and do not automatically include one-off advisory work outside the subscription scope unless stated.
Refunds, if applicable, are handled according to the terms of the engagement and applicable consumer protection laws. We strive to resolve billing concerns promptly and transparently.
Clients may cancel services in accordance with the cancellation terms in their engagement. Cancellation may be subject to fees for work performed or expenses incurred.
Clients are responsible for any taxes or duties applicable to fees charged for services in their jurisdiction. NovaTfirm will add applicable taxes where required under Malaysian tax law.
NovaTfirm may revise pricing from time to time. Existing engagements are billed at agreed rates unless the engagement specifically allows for adjustments.
Non-payment may lead to suspension of services and recovery actions. We will notify clients and make reasonable efforts to resolve payment disputes before taking enforcement measures.
Disclaimer

Limitation of liability
To the extent permitted by law, NovaTfirm's liability for direct losses arising from our services is limited to the fees paid for the relevant engagement. We are not liable for indirect, incidental, or consequential losses. This limitation does not apply to liability that cannot be limited under Malaysian law.
Third-party services
We may recommend or use third-party service providers for matters such as registrations, filings, or document management. Use of third parties is subject to their own terms. NovaTfirm is not responsible for third-party performance, but we aim to coordinate and select reliable providers.
Termination
Either party may terminate an engagement in accordance with the termination provisions in the engagement letter. Termination does not relieve the client of obligation to pay fees for work completed or expenses incurred prior to termination.
On termination we will deliver any agreed deliverables and return or securely destroy client materials as requested, subject to legal retention obligations and outstanding fees.
Privacy
Our privacy practices are described in the Privacy Policy available at NovaTfirm.vip/privacy. The policy explains what personal data we collect, how it is used, retained and protected, as well as how to exercise your privacy rights.
Communications
NovaTfirm communicates through email, secure client portals, and telephone. By engaging our services you consent to electronic communication for routine updates. For sensitive matters we will use secure channels and clearly label confidentiality requirements.
Changes to terms
We may update these Terms from time to time. Material changes affecting existing paid engagements will be communicated directly. Continued use of services after updates constitutes acceptance of the revised Terms.
Governing law
These Terms are governed by and construed in accordance with the laws of Malaysia. Disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in Malaysia, unless an alternative dispute resolution process is agreed in writing.
Dispute resolution
We aim to resolve disputes through direct negotiation. If a dispute cannot be resolved amicably, parties may pursue mediation or arbitration as agreed in the engagement letter prior to seeking court action, consistent with applicable Malaysian law.
